Paramount’s planned acquisition of Warner Bros., valued at $110 billion, could face major legal obstacles as several U.S. states prepare a lawsuit aimed at blocking the merger, according to Reuters.
The report states that California and New York have already joined efforts to challenge the transaction. Officials are concerned that combining the two media giants could further increase market concentration and reduce competition across the entertainment industry. The lawsuit is expected to be filed in the coming weeks.
Regulators began scrutinizing the deal shortly after it was announced in February. Paramount secured the acquisition after outperforming Netflix in a bidding process that involved multiple rounds of offers.
California Attorney General Rob Bonta has previously argued that continued consolidation in major sectors of the U.S. economy may harm both consumers and competition. He warned that larger corporate mergers often result in higher prices, fewer jobs, and reduced consumer choice.
Following the announcement, Bonta’s office launched a review of the transaction’s potential impact. He stressed that the merger must undergo a comprehensive antitrust examination and stated that California is prepared to challenge deals that may violate competition laws.
It remains unclear which other states could join the lawsuit. Representatives of Paramount and Warner Bros. have not yet commented publicly on the matter.
